These Terms of Service ("Terms") govern your access to and use of Member Mind, a membership analytics platform for MemberPress websites, provided by Member Mind, a trading name of Grand Digital (ABN 68 768 628 295) ("Member Mind", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms.
If you do not agree to these Terms, do not use the Service.
Member Mind connects to your MemberPress website (via an API key and companion WordPress plugin you install) and provides an analytics dashboard covering memberships, transactions, revenue, and related metrics.
Member Mind is under active development. The core Service is provided in beta — functional and used on real, live sites, but still evolving, and you may encounter bugs or incomplete functionality. Certain newer features are additionally labelled Alpha within the product (for example, the Insights feature). Alpha and Beta features may change, be incomplete, or be removed without notice, and we may seek your feedback on them directly.
You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity that occurs under your account. You must be legally able to enter into a binding contract to use the Service.

We will make reasonable efforts to provide the Service reliably, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis, particularly given its current beta stage of development, and the alpha stage of specific features noted in Section 1.
Current pricing plans are described on our website and may change from time to time. We will provide reasonable notice before any price change takes effect for existing subscriptions. Paid subscriptions are billed in advance on a recurring basis via Stripe. See our Refund Policy for details on cancellations and refunds.
As between you and Member Mind, you retain all rights to the data from your MemberPress site that you provide to us, including your End Users' data. We do not claim ownership of this data. We use it solely to provide the Service to you, as described in our Privacy Policy.
Member Mind and its original content, features, and functionality (excluding your own data) are owned by Grand Digital and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or reverse-engineer the Service except as permitted by law.

We may suspend or terminate your account if you breach these Terms, or if we reasonably believe your use of the Service poses a risk to us, other Customers, or their End Users. You may cancel your account at any time; see our Refund Policy for the effect of cancellation on billing.
Upon termination, we will delete your data within a reasonable period, in accordance with our Privacy Policy, except where retention is required by law.
Given the Service is provided in beta (with certain features in alpha, as described in Section 1), it may contain errors or inaccuracies beyond what is typical of a fully mature product. Analytics, insights, and recommendations provided by the Service are generated automatically from your data and are provided for informational purposes only — they do not constitute financial, legal, or business advice, and you should exercise your own judgment before acting on them.
To the maximum extent permitted by law, Grand Digital will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of profits, data, or business opportunities. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including certain consumer guarantees under the Australian Consumer Law, or equivalent mandatory consumer protections in your own country or region, where applicable.
You agree to indemnify and hold Grand Digital harmless from any claims, damages, or expenses arising from your breach of these Terms or your misuse of the Service, including claims brought by your End Users relating to how you have handled their data.
We may update these Terms from time to time. We will update the "Last updated" date above, and for material changes we will make reasonable efforts to notify you directly. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles. You and Member Mind agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia for any dispute arising from these Terms.
This section does not remove any mandatory consumer protection rights you may be entitled to under the law of your own country of residence, to the extent such rights cannot be excluded by agreement.
